Dell Service Agreement

4.1 Confidential Information. In connection with the Program, you may have access to documents, data or information, whether in written, oral, electronic, web or other form, that are not known to the public (together «Confidential Information») or are accessible (via the Partner Portal or by other means).) You will keep all confidential information strictly confidential for up to three (3) years after the termination of this Agreement, with at least the same diligence as you do to protect your own confidential information, but nothing less than due diligence. Notwithstanding anything to the contrary in this Agreement, your confidentiality obligations regarding personal data and trade secrets (including technical information about current products and services and all information relating to unpublished products and services) of Dell Technologies or associated Dell Technologies companies will never be extinguished. You may only disclose confidential information to your employees who have knowledge of it to promote the business relationship between you and Dell Technologies and who are subject to legally binding confidentiality obligations that are at least as restrictive as those imposed on you by this Agreement. You are fully responsible for any violation of this paragraph by your staff. These confidentiality obligations do not apply to confidential information that you can (a) prove was in your possession prior to receipt from Dell Technologies; (b) is or will be accessible to the public through no fault of your own or your staff; or (c) you have been lawfully received by a third party who is not bound by confidentiality. If a government authority or court requires you to disclose confidential information, you agree to notify Dell Technologies in advance, to the extent permitted by law, so that Dell Technologies can challenge the disclosure or seek a protection order. They acknowledge that damages caused by incorrect disclosure of confidential information may be irreparable and that Dell Technologies has the right to seek appropriate redress, including injunctions and injunctions, in addition to any other legal or cheap remedies available. Notwithstanding any separate confidentiality agreement you have with Dell Technologies, authorize and agree that information about your business with Dell Technologies and information, including personal data that you make available to Dell Technologies under the Program, that may be accessed and used by Dell Technologies and their collaborators and contractors for sales and marketing purposes and for any use related to the Program or the relationship between you and Dell Technologies (collectively , «Purpose») and may be transmitted to distributors or resellers, management bodies, your customers or end users for this purpose or to fulfill Dell Technologies` obligations to you and/or your customers or end users. 3.3 Other Associated Benefits. Dell Technologies may provide certain information collected about your business to companies with which Dell Technologies has a strategic relationship, including companies that conduct market research on behalf of Dell Technologies or offer products or services that are believed to be beneficial to you or your customers. The information is provided under confidentiality agreements between Dell Technologies and these partners and may be used in connection with the notification of products, services or programs that Dell Technologies believes may be of interest to you. 12.1 Termination.

You may terminate the Program at any time by notifying Dell Technologies in writing. Dell Technologies may suspend or terminate all or any part of your participation in the Program without notice: (a) due to a breach of this Agreement or any other agreement related to your participation in the Program or (b) an attempt to undermine the integrity of the Program as directed by Dell Technologies. . . .
